  In order to ensure the security of critical information infrastructure, according to the Cyber Security Law of the People’s Republic of China, our office, together with relevant departments, drafted the Regulations on the Security Protection of Critical Information Infrastructure (Draft for Comment), which is now open to the public for comments. Relevant units and people from all walks of life can put forward their opinions in the following ways before August 10, 2017:

Chapter I General Provisions

  the first In order to ensure the security of key information infrastructure, these Regulations are formulated in accordance with the Cyber Security Law of the People’s Republic of China.

  the second These Regulations shall apply to the planning, construction, operation, maintenance and use of key information infrastructure and the security protection of key information infrastructure in People’s Republic of China (PRC).

  Article The security protection of key information infrastructure adheres to the principles of top-level design, overall protection, overall coordination and division of responsibilities, and gives full play to the role of the main body of operation, with the active participation of all sectors of society to jointly protect the security of key information infrastructure.

  Article 4 In accordance with the division of responsibilities stipulated by the State Council, the national industry supervisor or regulatory department is responsible for guiding and supervising the safety protection of key information infrastructure in this industry and field.

  The national network information department is responsible for coordinating the security protection of key information infrastructure and related supervision and management. The State Council public security, national security, national secrecy administration, national password management and other departments are responsible for the relevant network security protection and supervision and management within their respective responsibilities.

  The relevant departments of the local people’s governments at or above the county level shall carry out the security protection of key information infrastructure in accordance with the relevant provisions of the state.

  Article 5 Operators of key information infrastructure (hereinafter referred to as operators) are mainly responsible for the security of key information infrastructure of their own units, fulfill the obligation of network security protection, accept the supervision of the government and society, and assume social responsibilities.

  The state encourages network operators outside the key information infrastructure to voluntarily participate in the key information infrastructure protection system.

  Article 6 On the basis of the network security level protection system, key information infrastructure is protected.

  Article 7 Any individual or organization has the right to report to the departments of network information, telecommunications, public security, industry directors or regulatory authorities when it finds any behavior that endangers the security of key information infrastructure.

  The department that receives the report shall promptly deal with it according to law; If it does not belong to the responsibilities of this department, it shall be transferred to the department that has the right to handle it in time.

  The relevant departments shall keep confidential the relevant information of informants and protect their legitimate rights and interests.

Chapter II Support and Guarantee

  Article 8 The state takes measures to monitor, defend and deal with cyber security risks and threats originating from inside and outside People’s Republic of China (PRC), protect key information infrastructure from attack, intrusion, interference and destruction, and punish illegal and criminal activities on the Internet according to law.

  Article 9 The state formulates policies on industry, finance, taxation, finance and talents, supports the innovation of technologies, products and services related to the security of key information infrastructure, promotes safe and credible network products and services, trains and selects network security talents, and improves the security level of key information infrastructure.

  Article 10 The state establishes and improves the network security standard system, and uses standards to guide and standardize the security protection of key information infrastructure.

  Article 11 The people’s governments at or above the prefecture level shall incorporate the safety protection of key information infrastructure into the overall planning of regional economic and social development, increase investment, and carry out performance evaluation.

  Article 12 The state encourages government departments, operators, scientific research institutions, network security service institutions, industry organizations and network products and service providers to carry out security cooperation on key information infrastructure.

  Article 13 The national industry supervisor or regulatory department shall establish or specify the institutions and personnel specifically responsible for the security protection of key information infrastructure in this industry and field, compile and organize the implementation of network security planning in this industry and field, establish and improve the working fund guarantee mechanism and supervise the implementation.

  Article 14 Energy, telecommunications, transportation and other industries should provide key protection and support in power supply, network communication, transportation and other aspects for the emergency handling of network security incidents of key information infrastructure and the recovery of network functions.

  Article 15 Public security organs and other departments investigate and crack down on illegal and criminal activities carried out against and using key information infrastructure according to law.

  Article 16 No individual or organization may engage in the following activities and behaviors that endanger critical information infrastructure:

  (1) Attacking, invading, interfering with or destroying key information infrastructure;

  (2) illegally obtaining, selling or providing others with information such as technical data that may be specially used to endanger the security of key information infrastructure without authorization;

  (3) Conducting penetrating and aggressive scanning and detection of key information infrastructure without authorization;

  (4) Providing Internet access, server hosting, network storage, communication transmission, advertising promotion, payment and settlement, etc. to others knowing that they are engaged in activities that endanger the security of key information infrastructure;

  (five) other activities and behaviors that endanger key information infrastructure.

  Article 17 The state maintains network security based on an open environment and actively carries out international exchanges and cooperation in the field of key information infrastructure security.

Chapter III Scope of Key Information Infrastructure

  Article 18 Once the network facilities and information systems operated and managed by the following units are damaged, lose their functions or have data leaked, which may seriously endanger national security, the national economy and people’s livelihood and public interests, they shall be included in the protection scope of key information infrastructure:

  (a) government agencies and units in energy, finance, transportation, water conservancy, health care, education, social security, environmental protection, public utilities and other industries;

  (2) Information networks such as telecommunication networks, radio and television networks and the Internet, and units that provide cloud computing, big data and other large-scale public information network services;

  (three) scientific research and production units in the fields of national defense science and technology, large-scale equipment, chemical industry, food and medicine;

  (4) news organizations such as radio stations, television stations and news agencies;

  (5) Other key units.

  Article 19 The national network information department shall, jointly with the telecommunications authorities of the State Council and the public security departments, formulate guidelines for the identification of key information infrastructure.

  The national industry director or regulatory department shall, in accordance with the guidelines for the identification of key information infrastructures, organize the identification of key information infrastructures in the industry and field, and submit the identification results according to procedures.

  In the process of key information infrastructure identification, we should give full play to the role of relevant experts to improve the accuracy, rationality and scientificity of key information infrastructure identification.

  Article 20 If the key information infrastructure is newly built or shut down, or there is a major change in the key information infrastructure, the operator shall promptly report the relevant situation to the national industry supervisor or regulatory department.

  The national industry supervisor or regulatory department shall make timely identification and adjustment according to the situation reported by the operator, and submit the adjustment according to the procedure.

Chapter IV Safety Protection of Operators

  Article 21 The construction of key information infrastructure should ensure that it has the performance of supporting the stable and continuous operation of business, and ensure the synchronous planning, simultaneous construction and simultaneous use of safety technical measures.

  Article 22 The main person in charge of the operator is the first person in charge of the security protection of the key information infrastructure of the unit, responsible for establishing and improving the network security responsibility system and organizing its implementation, and fully responsible for the security protection of the key information infrastructure of the unit.

  Article 23 Operators shall, in accordance with the requirements of the network security level protection system, perform the following security protection obligations, protect key information infrastructure from interference, destruction or unauthorized access, and prevent network data from leaking or being stolen or tampered with:

  (a) to formulate internal safety management systems and operating procedures, and strictly enforce identity authentication and authority management;

  (two) to take technical measures to prevent computer viruses and network attacks, network intrusion and other acts that endanger network security;

  (3) Take technical measures to monitor and record the network operation status and network security incidents, and keep relevant network logs for not less than six months according to regulations;

  (four) take measures such as data classification, important data backup and encryption authentication.

  Article 24 In addition to Article 23 of these regulations, operators shall also perform the following safety protection obligations in accordance with the provisions of national laws and regulations and the mandatory requirements of relevant national standards:

  (a) set up a special network security management organization and a person in charge of network security management, and conduct security background review on the person in charge and key positions;

  (2) Conducting cyber security education, technical training and skill assessment for employees on a regular basis;

  (three) to make disaster-tolerant backups of important systems and databases, and take remedial measures for security risks such as system loopholes in time;

  (four) to formulate emergency plans for network security incidents and conduct regular drills;

  (5) Other obligations stipulated by laws and administrative regulations.

  Article 25 The person in charge of network security management of the operator shall perform the following duties:

  (a) to organize the formulation of network security rules and regulations, operating procedures and supervise the implementation;

  (2) Organizing the skill assessment of personnel in key positions;

  (three) to organize the formulation and implementation of the network security education and training plan of the unit;

  (4) Organizing network security inspections and emergency drills to deal with and handle network security incidents;

  (five) according to the provisions of the relevant state departments to report the important issues and events of network security.

  Article 26 Professional and technical personnel in key positions of network security of operators shall implement the system of holding certificates.

  The specific regulations for holding a certificate shall be formulated by the human resources and social security department of the State Council in conjunction with the national network information department and other departments.

  Article 27 Operators shall organize network security education and training for employees, and the duration of education and training shall not be less than 1 working day per person per year, and the duration of education and training for professional and technical personnel in key positions shall not be less than 3 working days per person per year.

  Article 28 Operators should establish and improve the safety inspection and evaluation system of key information infrastructure, and conduct safety inspection and evaluation before the key information infrastructure is put into operation or when there are major changes.

  Operators shall, by themselves or by entrusting network security service agencies, conduct at least one inspection and evaluation on the security of key information infrastructure and possible potential risks every year, make timely rectification on the problems found, and report the relevant information to the national industry supervisor or regulatory department.

  Article 29 Personal information and important data collected and generated by operators in People’s Republic of China (PRC) shall be stored in China. If it is really necessary to provide it overseas due to business needs, it shall be assessed in accordance with the exit safety assessment method for personal information and important data; Where laws and administrative regulations provide otherwise, such provisions shall prevail.

Chapter V Safety of Products and Services

  Article 30 The key network equipment and special products for network security purchased and used by operators shall comply with the provisions of laws and administrative regulations and the mandatory requirements of relevant national standards.

  Article 31 Operators purchasing network products and services, which may affect national security, shall pass the network security review in accordance with the requirements of the network products and services security review measures, and sign a security confidentiality agreement with the provider.

  Article 32 Operators shall conduct safety inspection on outsourced systems, software and donated network products before they go online for application.

  Article 33 Operators found that the use of network products, services, such as security defects, loopholes and other risks, should take timely measures to eliminate potential risks, involving major risks should be reported to the relevant departments in accordance with the provisions.

  Article 34 The operation and maintenance of key information infrastructure should be implemented within the territory. If it is really necessary to carry out overseas remote maintenance due to business needs, it shall be reported to the national industry supervisor or regulatory department and the public security department of the State Council in advance.

  Article 35 Institutions that conduct security detection and assessment for key information infrastructure, release information on security threats such as system vulnerabilities, computer viruses and network attacks, and provide services such as cloud computing and information technology outsourcing shall meet the relevant requirements.

  The specific requirements shall be formulated by the national network information department in conjunction with the relevant departments of the State Council.

Chapter VI Monitoring and Early Warning, Emergency Disposal and Detection and Evaluation

  Article 36 The national network information department will co-ordinate the establishment of a network security monitoring and early warning system and information notification system for key information infrastructure, organize and guide relevant institutions to carry out network security information summary, analysis, judgment and notification, and uniformly release network security monitoring and early warning information in accordance with regulations.

  Article 37 The national industry supervisor or regulatory department shall establish and improve the network security monitoring, early warning and information notification system for key information infrastructure in this industry and field, keep abreast of the operation status and security risks of key information infrastructure in this industry and field, and inform relevant operators of security risks and related work information.

  The national industry director or regulatory department shall organize the research and judgment of safety monitoring information, and if it deems it necessary to take immediate preventive measures, it shall timely release early warning information and emergency preventive measures and suggestions to the relevant operators, and report to the relevant departments in accordance with the requirements of the national emergency plan for cyber security incidents.

  Article 38 The national network information department coordinates relevant departments, operators, relevant research institutions and network security service institutions to establish a network security information sharing mechanism for key information infrastructure to promote network security information sharing.

  Article 39 The national network information department shall, in accordance with the requirements of the national network security emergency plan, coordinate relevant departments to establish and improve the network security emergency cooperation mechanism for key information infrastructure, strengthen the construction of network security emergency forces, and guide and coordinate relevant departments to organize cross-industry and cross-regional network security emergency drills.

  The national industry supervisor or regulatory department shall organize the formulation of emergency plans for cyber security incidents in its own industry and field, and organize regular drills to enhance its ability to respond to cyber security incidents and recover from disasters. After the occurrence of major network security incidents or receiving early warning information from the network information department, the emergency plan should be immediately launched to organize the response, and the relevant situation should be reported in time.

  Article 40 The national industry director or regulatory department shall regularly organize spot checks on the security risks of key information infrastructure in this industry and field and the performance of operators’ security protection obligations, put forward improvement measures, and guide and urge operators to rectify the problems found in the detection and evaluation in a timely manner.

  The national network information department co-ordinates the spot check and testing work carried out by relevant departments to avoid cross-examination and evaluation.

  Article 41 Relevant departments should adhere to the principles of objectivity, fairness, efficiency and transparency, adopt scientific testing and evaluation methods, standardize testing and evaluation processes, and control testing and evaluation risks.

  The operator shall cooperate with the inspection and evaluation carried out by the relevant departments according to law, and timely rectify the problems found in the inspection and evaluation.

  Article 42 The relevant departments shall organize the safety inspection and evaluation of key information infrastructure, and may take the following measures:

  (a) require the relevant personnel of the operator to explain the testing and evaluation matters;

  (2) Consulting, retrieving and copying documents and records related to security protection;

  (three) to check the formulation and implementation of network security management system and the planning, construction and operation of network security technical measures;

  (four) the use of testing tools or entrust network security service agencies to carry out technical testing;

  (five) other necessary means with the consent of the operator.

  Article 43 The information obtained by relevant departments and network security service institutions in the security detection and evaluation of key information infrastructure can only be used for the needs of maintaining network security and shall not be used for other purposes.

  Article 44 The relevant departments shall organize the safety inspection and evaluation of key information infrastructure, and shall not charge the inspected and evaluated units, and shall not require the inspected and evaluated units to purchase the products and services of designated brands or designated production and sales units.

?

Chapter VII Legal Liability

  Article 45 If the operator fails to perform the network security protection obligations stipulated in the first paragraph of Article 20, Article 21, Article 23, Article 24, Article 26, Article 27, Article 28, Article 30, Article 32, Article 33 and Article 34 of these Regulations, the relevant competent department shall order it to make corrections according to its duties and give it a warning; Those who refuse to correct or lead to the consequences of endangering network security shall be fined not less than 100,000 yuan but not more than 1 million yuan, and those directly in charge shall be fined not less than 10,000 yuan but not more than 100,000 yuan.

  Article 46 Operators who, in violation of the provisions of Article 29 of these regulations, store network data overseas or provide network data overseas, shall be ordered by the relevant competent departments of the state to make corrections according to their duties, given a warning, confiscate their illegal income, and be fined not less than 50,000 yuan but not more than 500,000 yuan, and may be ordered to suspend related businesses, suspend business for rectification, close websites and revoke related business licenses; The directly responsible person in charge and other directly responsible personnel shall be fined between 10,000 yuan and 100,000 yuan.

  Article 47 In violation of the provisions of Article 31 of these regulations, operators use network products or services that have not passed the security review or security review, and the relevant competent departments of the state shall order them to stop using them according to their duties, and impose a fine of more than one time and less than ten times the purchase amount; The directly responsible person in charge and other directly responsible personnel shall be fined between 10,000 yuan and 100,000 yuan.

  Article 48 Individuals who violate the provisions of Article 16 of these regulations and do not constitute a crime shall be confiscated by the public security organs, detained for less than five days, and may be fined not less than 50,000 yuan but not more than 500,000 yuan; If the circumstances are serious, they shall be detained for more than five days and less than fifteen days, and may be fined not less than one hundred thousand yuan but not more than one million yuan; If a crime is constituted, criminal responsibility shall be investigated according to law.

  If a unit commits the acts mentioned in the preceding paragraph, the illegal income shall be confiscated by the public security organ, and a fine of not less than 100,000 yuan but not more than 1 million yuan shall be imposed, and the directly responsible person in charge and other directly responsible personnel shall be punished in accordance with the provisions of the preceding paragraph.

  In violation of the provisions of article sixteenth of this Ordinance, the person who is subject to criminal punishment shall not engage in the work of key information infrastructure security management and network operation key positions for life.

  Article 49 Operators of key information infrastructure of state organs fail to fulfill the obligations of network security protection stipulated in these regulations, and shall be ordered by their higher authorities or relevant authorities to make corrections; The directly responsible person in charge and other directly responsible personnel shall be punished according to law.

  Article 50 The relevant departments and their staff have one of the following acts, and the directly responsible person in charge and other directly responsible personnel shall be punished according to law; If the case constitutes a crime, criminal responsibility shall be investigated according to law:

  (1) Soliciting and accepting bribes by taking advantage of one’s authority at work;

  (two) dereliction of duty, abuse of power;

  (three) unauthorized disclosure of key information infrastructure related information, data and data files;

  (four) other acts in violation of statutory duties.

????Article 51 If a major network security incident occurs in the key information infrastructure, which is determined as a liability accident after investigation, the responsibility of the operating unit should be ascertained and investigated according to law, and the responsibility of the relevant network security service institutions and relevant departments should also be ascertained. Those who have dereliction of duty, dereliction of duty and other illegal acts should be investigated according to law.

  Article 52 Overseas institutions, organizations and individuals engaged in attacks, intrusions, interference, destruction and other activities that endanger People’s Republic of China (PRC)’s key information infrastructure, resulting in serious consequences, shall be investigated for legal responsibility according to law; The public security departments, state security organs and relevant departments of the State Council may also decide to freeze assets or take other necessary sanctions against the institution, organization or individual.

Chapter VIII Supplementary Provisions

  Article 53 The security protection of key information infrastructure for storing and processing state secret information shall also comply with the provisions of confidentiality laws and administrative regulations.

  The use and management of passwords in key information infrastructure shall also comply with the provisions of password laws and administrative regulations.

????Article 54 The security protection of military key information infrastructure shall be stipulated separately by the Central Military Commission (CMC).

  Article 55 These Regulations shall come into force as of * * * * on * * year.

Guidelines for the general election of social organizations in Beijing (for Trial Implementation)

Chapter I General Provisions

  Article 1 In order to regulate the general election of social organizations, ensure members to exercise their democratic rights according to law, and promote autonomy according to law, these guidelines are formulated in accordance with the Regulations on the Administration of Registration of Social Organizations and relevant laws, regulations and policies, combined with the actual work in our city.

  Article 2 The general election of social organizations (hereinafter referred to as the general election) is a process in which the organization holds a general meeting or a general meeting of members (hereinafter referred to as the general meeting) in accordance with the articles of association, deliberates and votes on relevant matters in accordance with the prescribed procedures, and elects a new board of directors and board of supervisors by voting.

  Article 3 The general election shall embody the principles of "democracy, openness, fairness, impartiality and standardization".

  Article 4 The general election of social organizations shall be the responsibility of the Council or the Standing Council (hereinafter referred to as the Council).

  The Council may establish a general election committee and authorize the general election committee to be solely responsible for the general election.

  Article 5 The competent business units, leading organs of Party building and registration administration organs shall be responsible for the guidance and supervision of the general election.

  Article 6 These Guidelines shall apply to social organizations registered in the civil affairs department of this Municipality according to law.

Chapter II General Election Institutions

  Article 7 The Council shall organize the general election six months before the expiration of its term of office. The duties of the Council are:

  (a) to formulate the work plan for the general election and hold regular meetings to study and discuss major issues in the general election.

  (2) Organizing to sort out the membership roster and examining the membership conditions according to the articles of association.

  When a member congress is held, it is necessary to draw up and adopt the method for generating member representatives, and review and approve the list of member representatives.

  (3) Organizing the nomination of the chairman or president (hereinafter referred to as the chairman), the vice-chairman or vice-chairman (hereinafter referred to as the vice-chairman), the chairman of the board of supervisors, the secretary-general, the standing directors, directors and supervisors to propose candidates. Have a part-time job, for examination and approval for the record.

  (four) to discuss and pass the relevant materials for the general election.

  (five) to submit the general election materials and the list of candidates for the responsible person to the competent business units, the leading organs of party building and the registration administration organs.

  Article 8 Where the general election committee is authorized to be established, the Council shall establish the general election committee six months before the expiration of its term of office.

  The general election committee is elected by the Council. Generally, it is composed of the principal person in charge of the board of directors, the person in charge of the party organization at the same level, the executive director, the representative of the director and the representative of the supervisor. The number of members is determined by the board of directors, which is generally odd, and the number is 5-15. The general election committee shall elect a chairman, and the leading office or secretariat shall carry out the work related to the general election.

  After the election committee is formed, it shall issue an announcement to inform all members.

Chapter III Membership Examination

  Article 9 Before the general election, membership examination shall be conducted to ensure that members have the right to vote, be elected and vote. Members who fail to pay their membership fees, participate in activities or violate the articles of association are advised to cancel their membership, which will be discussed and approved by the board of directors. Those who cancel without discussion and approval by the Council still enjoy membership rights.

  Article 10 A new application for membership shall be discussed and approved by the board of directors.

  Article 11 The board of directors or the general election committee shall draw up the Membership List and publicize it in an appropriate way for 7 days.

  Twelfth members have objections to the publicity of the "membership list", should be within 10 days after the publicity to the Council or the general election committee. The Council or the general election committee shall conduct investigation and verification within 3 days after receiving the objection application. If it needs to be corrected, the corrected "Member List" shall be publicized in time.

Chapter IV Selection of Member Representatives

  Article 13 In principle, a general meeting shall be held if the number of members is less than 200 (inclusive). If there are more than 200 members, a member representative meeting may be held, and the number of member representatives is generally not less than 50.

  Article 14 The proportion of member representatives shall be determined according to industry category, geographical distribution and representativeness.

  Members’ representatives shall be elected through democratic means. After the members’ representatives are produced, they shall be reported to the Council or the general election committee for deliberation and approval.

  The person in charge of a corresponding party organization should generally be a member representative.

  Article 15 The board of directors or the general election committee shall summarize and form a Member Representative List, and publicize it in an appropriate way before the general election, with a publicity period of 7 days.

  Sixteenth members of the publicity of the "Member Representative List" have objections, should be within 10 days after the publicity to the Council or the general election committee. The Council or the general election committee shall conduct investigation and verification within 3 days after receiving the objection. If it needs to be corrected, the corrected "Member Representative List" shall be publicized in time.

Chapter V Generation of Candidates

  Article 17 The board of directors or the general election committee shall, on the basis of extensive consultation, nominate candidates for chairman, vice-chairman, executive director, director, secretary-general, chairman of the board of supervisors and supervisor by means of holding a forum, making a thorough investigation, and recommending by the board of directors.

  Article 18 Selection of directors, executive directors and supervisors.

  (1) The directors are elected from among the members, and the board of directors is composed of at least 7 directors and no more than 100 directors, generally not more than one third of the members or their representatives. The term of office of directors is stipulated in the articles of association.

  (2) The executive director shall be elected from among the directors, and the executive council shall be composed of at least 5 executive directors, with a maximum of 1/3 of the directors. The term of office of the executive director shall be stipulated in the articles of association.

  Social organizations with less than 50 directors do not have a standing Council; Social organizations with more than 50 directors may set up a standing council.

  (3) The supervisors shall be elected from among the members, and the board of supervisors shall consist of at least three supervisors. The term of office of the supervisor shall be stipulated in the articles of association.

  Article 19 Selection of the person in charge.

  (1) The chairman, vice-chairman and secretary-general are elected from among the directors, and the number generally does not exceed one third of the number of directors. Generally, there is one chairman, several vice-chairmen and one secretary-general.

Chapter VI General Audit

  Article 23 The board of directors or the general election committee shall select a qualified accounting firm to issue the General Audit Report, and the audit period shall generally be from the establishment of the current board of directors to three months before the next general meeting.

  Article 24 If the legal representative leaves office, the board of directors or the general election committee shall select a qualified professional audit institution to issue the Audit Report on the Economic Responsibility of the Legal Representative during his term of office, and the report shall indicate a clear audit conclusion. The audit period is generally from the legal representative’s term of office to three months before the next general meeting.

Chapter VII Consideration of Documents

  Article 25 The Council or the general election committee shall hold a meeting 60 days before the general election meeting to consider and pass the following materials:

  (1) Nomination of candidates for chairman, vice chairman, secretary-general, supervisor, executive director, director and supervisor;

Chapter VIII Materials Submitting for Approval

  Twenty-sixth according to the relevant provisions, the board of directors or the general election committee will report the materials reviewed and approved to the competent business unit for approval. Social organizations without competent business units shall report to the leading organs of Party building for examination and approval in accordance with the "Measures for the Examination of Persons in Charge of Chambers of Commerce of Beijing Industry Associations (Trial)".

  Twenty-seventh leading cadres of the party and government organs shall be examined and approved in accordance with the requirements of the Municipal Commission for Discipline Inspection and the Organization Department of the Municipal Party Committee.

Chapter IX Election Preparation

  Twenty-ninth meeting notice. The board of directors or the general election committee shall notify all members or members’ representatives in an appropriate way one week before the general election meeting is held.   Forty-first general elections generally implement equal elections, and the number of candidates for the Council is the same as the number of candidates to be elected.

Section 5 Separate Election and Re-election

  Article 46 A separate election refers to a re-election in which two or more candidates for the same position have equal votes and it is uncertain who will be elected, or the number of candidates elected is less than the number of candidates to be elected.

  In case of another election, the Council or the general election committee shall evaluate the situation of another election, and decide whether it is necessary to hold another election according to its influence on the Council and the board of supervisors of social organizations.

  Forty-seventh in order to determine who is elected by two or more people with equal votes, the candidates are still two or more people with equal votes. The ballot papers to be elected separately shall be in the order of names and strokes, and no space shall be left on the ballot papers for selecting others.

  Forty-eighth in order to make up for the shortage of places, the candidates shall be determined according to the order of the number of votes obtained by those who were not elected in the first ballot. The ballot paper should be left blank for others to choose.

  Forty-ninth voting procedures and requirements for separate elections shall be carried out in accordance with the voting procedures and requirements of the general election meeting. The results of another election should also be announced on the spot on the same day.

  Fiftieth re-election refers to the process of re-election due to the failure of the Council or the general election committee and the actors to follow the prescribed procedures and election methods, resulting in invalid elections. Several situations of re-election:

  (a) the number of members or members’ representatives who participated in the voting did not meet the attendance requirements of more than two thirds, or their resolutions did not meet the voting requirements of more than two thirds of the members present;

  Article 51 In case of re-election, the Council or the general election committee shall promptly report to the competent business unit and the registration authority. In the event of re-election of social organizations without business competent units, they should report to the leading organs of party building work at higher levels and the registration management organs in a timely manner.

  Article 52 If one or more candidates for the proposed responsible person are not elected as directors or supervisors, or if more than two-thirds of the votes of other directors or supervisors are selected, the board of directors or the general election committee may directly determine the election results, and the board of directors or the general election committee shall re-elect new candidates for the responsible person from the newly elected directors. The recommended candidates shall go through the procedures of soliciting opinions or political review.

  Fifty-third separate elections and re-elections should be clearly distinguished from the previous elections in terms of color or style.

  Fifty-fourth social groups in the general election in case of emergencies, according to the following procedures:

  (1) Social organizations with competent business units conduct mediation under the auspices of competent business units and registration administration organs, while social organizations without competent business units conduct mediation under the auspices of leading party building organs and registration administration organs.

Chapter XI Filing and Registration

  Article 55 If the name, legal representative, domicile, registered capital, business scope and competent business unit of a social organization change after the change of office, the change procedures shall be handled in accordance with the provisions of the Administrative Licensing Law and the Regulations on the Administration of Registration of Social Organizations.

  Article 56 Within 30 days after the general meeting of social organizations, the following materials shall be reported to the competent business unit and the registration administration organ for the record if there is a competent business unit, and the following materials shall be reported to the leading party building organ and the registration administration organ for the record if there is no competent business unit:

  (1) Minutes of General Meeting;

  (2) Work Report of the Board of Directors, Work Report of the Board of Supervisors and Financial Work Report;

  (3) Member List, Board List, Standing Board List, Board of Supervisors List and Person in Charge List;

  (4) Agenda of the Meeting;

  (5) Measures for General Election;

  (6) The Audit Report on General Election;

  (seven) on-the-job leading cadres, retired (retired) cadres part-time examination and approval filing materials;

  (eight) no business unit in charge of social organizations responsible for political audit materials;

  (9) Other documents and materials.

Chapter XII Advance or Postpone the Transition

  Article 57 If a social organization needs to advance or postpone the general election due to special circumstances, it shall report the minutes of the meeting and the application for advancing or postponing the general election approved by the board of directors to the competent business unit for approval, and then report it to the registration authority for the record.

  Social organizations without competent business units shall be reported to the registration authority for the record after being approved by the leading organs of Party building.

  The longest term of advance or extension is no more than 1 year.

  Fifty-eighth social organizations can not be normal general election, should be established under the guidance of the competent business unit general election committee for general election. When necessary, the competent business unit may select staff as members of the general election committee to supervise and guide them to complete the general election.

  If a social organization without a competent business unit cannot hold a general election normally, it shall set up a general election committee to hold a general election under the guidance of the leading organs of Party building and the registration administration organs. When necessary, the leading organs of Party building and the registration authority may select staff members as members of the general election committee to supervise and guide them to complete the general election.

Chapter XIII Supplementary Provisions

  Article 59 If the term of office of the Council of a social organization expires, it fails to change the term on time and fails to perform the extension procedure, the annual inspection conclusion of that year is basically qualified. If the general election of social organizations does not meet the procedural requirements, the competent business unit and the registration administration organ put forward rectification requirements, and refused to accept them, administrative punishment shall be imposed in accordance with the provisions of the Regulations on the Administration of Registration of Social Organizations. The implementation of these guidelines by social organizations in the process of transition is an important reference for the evaluation of social organizations, and it is included in the credit information management system of social organizations in accordance with the provisions of the Measures for the Administration of Credit Information of Social Organizations.

  Article 60 The Beijing Municipal Bureau of Civil Affairs shall be responsible for the interpretation of these Guidelines.

  For example, can you use your mobile phone to solve the problem of parking and find a parking space? Or other minor problems, such as attendance, school assignments and so on.   Ma Huateng: Tencent should have three particularly difficult times from childhood to adulthood. At that time, those big ISPs and ICP were willing to buy them. But it was later discovered that there was only one set of instant messaging. How can it be sold? And we lost the bid at that time. This is the difference between Internet products and traditional products. Traditional telecom products leave as soon as they win the bid, while Internet products need your constant innovation and maintenance. If you can’t leave after finishing, you will die if no one maintains it.

  Many internet companies have encountered similar difficulties, and I believe Baidu is also. Search was originally intended for the portal, but I didn’t expect it to become the portal. At that time, our QQ couldn’t be sold, and it was in our own hands. But users were soaring, and we didn’t have the money to buy servers. At that time, it was very difficult and stressful. If we couldn’t do it, we had to sell it.

  At that time, some early friends helped us find investors, one was IDG, and the other was PCCW, giving us $1.1 million each. Later, they sold their shares to South Africa’s MIH.

  After investors came in, we didn’t really find a business model. At that time, investors were worried that there was no business model and they didn’t know how to make money. The only idea was to fatten up and sell it. IDG once took us to meet Internet companies such as Sina and started to be interested, but none of them took a fancy to us.

  Qian Yingyi: The first difficulty was not winning the bid, and the second difficulty was that people didn’t like you.

  Ma Huateng: Scholars despise each other, and IT men despise each other. At that time, some Sina technicians thought that they could make this software in a month without acquisition.

  (These difficulties) later forced us to have hematopoietic capacity very early, so we made the first product with the operator at the first time — — Mobile QQ, SMS and computer QQ message interaction, 5 yuan a month. The monthly fee is the first bucket of our income.

  At that time, everyone thought they were dead. Our founder is also discussing, and these discussions are still useful. We have made our products more suitable for Chinese than foreign products. At that time, there were several different products in China, including 163 and 169, and a product from the south. We have done a lot of optimization for the special network in China. We will build a point, spread three networks, namely, telecommunications, China Unicom and education network, and make them interconnected. We will concentrate them, so that users can use them the fastest and transfer files the fastest. The word-of-mouth established at that time was that our transmission speed was very fast, which was a great need.

  We have a chat room. In those days, the chat room played a great role in the cold start of products. Everyone discussed in the chat room and made friends. The second is our avatar, and personalization is also our earlier innovation. Only by solving one pain point with one innovation can you win.

  Wechat is actually an email, but it is so fast that you think it is not.

  Ma Huateng: A few years ago, after Sina Weibo got up, it began to switch from social media to social networks. At that time, we heard that there was a Weibo in someone’s school to communicate between classes, which was a great crisis for us. It began to cast its net downward, and the first reaction was that we should also be Weibo. But it’s hard. The same product can’t beat the opponent. You can only solve this problem by finding a completely different product. Wechat was born in this way. It is the mobile communication of pure mobile phone. At that time, the burden of QQ was very heavy. To solve the problems of PC and mobile phone terminals, several internal teams were developing, and whoever solved the problem first would win.

  Qian Yingyi: It was designed on purpose to make three teams compete with each other? This is your decision?

  Ma Huateng: It is true that three teams signed up. At that time, a big problem was solved, how to play from PC to mobile? At that time, Nokia’s market share dropped from 70% and 80% in the previous year. Smartphones such as Android and Apple quickly replaced traditional function machines. Internet companies could survive only if they reacted, but died if they didn’t. We were the first to get this ticket, and those who didn’t get on the boat can’t come back. This is the biggest crisis.

  Qian Yingyi: When three teams worked together, they basically started at the same time, and the last one won, and then they merged the three teams?

  Ma Huateng: This involves the problem of our internal organizational structure. It turned out that the group had several different platforms to make mobile products, including QQ and our wireless department, which were separated at that time. However, this innate structure is unreasonable. Later, we quickly integrated the traditional mobile phone and PC products that were originally scattered in different departments into one department.

  The other is our QQ email team. We came into contact with mobile email very early, and we used BlackBerry. At first, it was only for executives. Later, we thought, can we develop a software in QQ mailbox, so that every employee can easily use mobile email. So there was a small team to develop mobile phone mailboxes. Fortunately, there was this layout, and finally WeChat came out, which was done by this team. At first, the email and client on the mobile phone were changed to WeChat.

  Wechat was originally a mailbox. Wechat is actually an email, a short and fast email, but it’s so fast that you think it’s not an email. With this team, our design and development speed is very fast, so it was developed quickly. Zhang Xiaolong led this team, including himself, to have a very good grasp of this product, which is very good.

  Qian Yingyi: I didn’t quite understand it, but now I do. A big difference between WeChat and QQ is that WeChat is used not only by the public, but also by elites and executives. When you make QQ mailboxes, you take into account the habits of executives.

  Ma Huateng: The main problem is that the user data can’t get up when it first comes out. Everyone thinks this is a simple QQ. The real start is voice, you can talk when you press it, and the recording goes out. This is a function that foreign similar products do not have, including WhatsApp, or the function is hidden deeply. After I found this function, it quickly became popular. It has turned many executives who are not used to typing on mobile phones into WeChat users.

  There is also the integration with the mobile phone address book and the import of QQ user data. As soon as you see that your address book friends installed WeChat, you quickly installed it. This is the energy of the social chain.

  Qian Yingyi: I heard that you came up with the name WeChat? This name is very good.

  Ma Huateng: I didn’t think of it either. At that time, I thought what letter I should definitely call. At that time, Weibo was very popular, and I thought about it every day. Later, I said in the group that it should be called WeChat, so it was decided casually. When the project was established, three teams were doing it at the same time, the QQ mailbox team in Guangzhou was doing it, and the wireless business group was also doing it. Their names were all called WeChat, but they didn’t tell each other about the development progress. The mailbox team made it, and the wireless business group team was very depressed. Their product was later renamed Q letter.

  Qian Yingyi: Even in a company, we should do parallel experiments.

  Ma Huateng: We later concluded that these internal benign competitions are still necessary. Why did you hit yourself? Often hit yourself, you will work harder, so that the company will not lose some big strategic opportunities.

  Qian Yingyi: Because every innovation is uncertain and difficult.

  Ma Huateng: If you don’t do it, competitors or people in the industry will always do it.

  How China’s Innovation "From One to N"

  Qian Yingyi: In March this year, we invited the author of "From Zero to One" to give a special lecture in our college, which was very wonderful. He particularly emphasized "from zero to one". I also have a conversation with him here. From the case of China, I found that in fact, we can’t talk too much about "from zero to one" because many innovations in China are "from one to n". China’s n is very large. Moreover, "what is zero" and "what is one" are difficult to define.

  For example, QQ gets a lot of inspiration from ICQ. For other examples, we can also cite Alibaba, Baidu and Didi. People think "from zero to one" is great, but it is easy to ignore "from one to n". Not all people who do "from one to n" can succeed. In this "From One to N", there are many innovations that are suitable for China market, China culture and China’s special industrial structure. Tencent is particularly outstanding in this respect. You have been inspired by some products, but now you have made far more than those before. Can you share with us here?

  Ma Huateng: The whole Internet in China was indeed the earliest. Because the United States is the center of the global Internet, basic product innovation was first put forward by the United States, which is a very strong advantage, and it is not only Asian countries that are backward, but also Europe. However, it is very different when it is applied to the local market, and the culture in China is very different. And frankly speaking, the same model has started a lot at the same time in China. When an idea comes out, in less than two weeks, dozens of teams start working at the same time and start doing it. The domestic track is very crowded, which is the most difficult. At this time, more innovation is often needed. This kind of innovation competition is fierce, far exceeding that of the United States.

  Some enterprises have already started to go to sea, and you can see that companies in China far surpass those in the United States. You can’t go far just like the original model, and it will start to be different after two or three months. Only by adding many new, unique and innovative points can you win this competition. Taobao and Baidu can grow up in this way. There are more innovations in WeChat. You can see that WeChat has done a lot of things, and now it is also seen overseas, and sometimes it is reversed. This is because the competitive environment in China is fierce and the product iteration speed is very fast. As you can see, the whole industry can be integrated with WeChat, including WeChat official account, QR code scanning and various life services. The street can be connected with various industries by scanning the QR code. This combination was only started three years ago, including mobile payment. Three years ago, when we started to do it, we encountered fierce competition from Alibaba’s Alipay, and grew up quickly, opening up the market and letting more people use it.

  However, there are a lot of subsidies here. Didi and Kuaidi’s massive subsidies in those years played a great role in users’ habit of mobile payment. China’s environment will lead to faster innovation iterations. Let’s talk about the whole ecology of internet plus. At present, China is relatively original and leading.

  Qian Yingyi: This year is particularly interesting. Many articles have appeared in the mainstream media in the United States, talking about China’s innovations, including WeChat, and even American companies are imitating it. Facebook added take-out to Facebook last week. The previous apps in the United States were all single functions, and WeChat was a comprehensive function. Now they are also adding them.

  One day when I was walking near Tsinghua, I saw an old lady selling watermelons hanging a sign on a tree. I told this example to Americans, and they knew how powerful WeChat payment was.

  This is very interesting. I suddenly feel that although the United States is very active in the Internet industry, China is also very active. In this competition and this round of innovation, it seems that Europe or other previously advanced regions in Asia have not kept up?

  Ma Huateng: On the whole, China is still a little earlier than Europe.

  Qian Yingyi: Europe is particularly lagging behind?

  Ma Huateng: Europe basically uses American products directly. But we can’t be complacent. After all, this is an innovation in application, and the gap between many innovations is still very large.

  What is the next innovation?

  Qian Yingyi: In terms of applied innovation, China is ahead now, but the basic innovation is not very ahead.

  Ma Huateng: The future is like artificial intelligence, including autonomous driving and robots. The future leading strength of the United States in this respect is still very strong. For such a long-term technological change in the next 20 or 30 years, it should be laid out in advance.

  Qian Yingyi: What thoughts or actions does Tencent have in this regard? I know that based on cost considerations, the research institute was cut off before. Now, as you said, what are your plans for basic research on technology?

  Ma Huateng: What were the mistakes in our past development? A research institute was set up, and they competed with our business group (BG) to make products, and the products they made were not competitive. We began to think about the significance and ways of being an independent research institute. Finally, it is found that doing research still needs to be close to the battlefield. If it is too far away from the platform resources such as QQ and WeChat, many things can’t be done. So later, the institute was divided into three parts and given to three BG’s respectively. Some of them went to WeChat; There is also the Youtu team, which is doing image recognition; There are also teams that do search. Later, when the search was sold, they were integrated into the back-office business department. Now this team has been taken seriously again, because AI is very important, and they have set up an AI lab. We will recruit a large number of talents in this field in the future.

  Qian Yingyi: So you also attach great importance to AI now.

  Ma Huateng: In fact, we have done some things in the past, but they have not been applied to our products. Now we need to have group and company-level AI laboratories to make some more forward-looking products.

  In addition, we have found a better way to cooperate with universities such as Tsinghua. In 2011, we started to establish a joint laboratory with Tsinghua, and many innovations came from the cooperation with Tsinghua. For example, the street view entrance, we first made a street view in the map. Street view should blur the license plate and people’s faces, not invade privacy, and not photograph the license plate. But what about a lot of pictures? We worked with the research team in Tsinghua, and the professor took the students to research and develop with our team. Later, this problem was solved. There are many other functions that teachers and classmates in Tsinghua have achieved together with our team, including LBS, accurate positioning of IP addresses and so on.

  In fact, there are still many black technologies in the future, which must be realized in cooperation with universities. We don’t have to study it ourselves, we have to open it up.

  Qian Yingyi: Like Google now doing driverless cars, Facebook doing virtual reality and VR, which is very different from their original products. The innovative research you are doing now is still related to your current products. Tell me about your idea. Did you make a very different product?

  Ma Huateng: Yes, it is hard for me to say whether it is successful or not. I will keep this opportunity and encourage internal competition and innovation, or I will give them this opportunity. There are also some companies that we invest in, which are doing strong business like O2O, so we will not do it and leave it to them.

  Qian Yingyi: What do you think will be the next innovation that will affect the world after WeChat?

  Ma Huateng: I don’t know now, but I am thinking that every big change is accompanied by changes in the terminal. The PC to the mobile phone is actually because the smart phone is up, and everything is different. In the future, for example, glasses VR and AR. Many VR players may get dizzy after playing for up to 20 minutes, and they can’t stand it. They may not be able to continue to do it, but some plug-in AR players may know your history and related information when they see your face. If terminals like this become more and more popular, the new scene changes, which will lead to great changes in door-to-door service. I think AR is a very good new terminal with future growth.

  However, it will also bring many problems, including privacy issues. In some occasions, it may not be allowed to bring a pair of glasses, etc. These will all cause problems, but this direction is still very good.

  Qian Yingyi: This direction is the future direction. You have talked so much just now, and we are inspired by many details from the growth experience to the development of Tencent. You will be 45 years old in another week. We congratulate you in advance. Qian Yingyi: Looking back on 45 years of life, do you have any feelings?

  Ma Huateng: We are still on the road, and we are still pushing forward. This is a process. We are lucky to be able to do something in China when it is developing at a high speed.

  Internet companies in China or Asia should be global, and it is not easy to make some achievements. Among the top 10 Internet companies in the world, there are 6 in the United States and 4 in China, but not in other countries. Why do you think this is the case?
